Consultant will redesign and deliver a fully functioning AI-enhanced website for Client, including:

Exchange

Consideration

  • $500 (nonprofits) - $15k
  • Priority workspace access
  • 30+ guest passes per month
  • Referrals and footer credit
  • Client testimonial upon launch
  • Documented AI costs + 10% with prior approval

Intellectual property

Ownership of the delivered website and client-specific work product transfers to Client upon payment or written acceptance.

Open-source, third-party, and pre-existing IP remain subject to their original rights and licenses.

Excluded - Out of Scope

The following are not included but may be discussed as separate projects:

  • AI voice receptionist / after-hours phone agent
  • AI chatbot or on-page FAQ assistant
  • Ongoing content creation or blog writing
  • Paid advertising, social media, or ad management
  • Logo or brand identity design (unless Client requests)

Agreement Terms

Relationship

Independent contractor. Consultant is not an employee and is responsible for own taxes and insurance.

Termination

Either party may terminate at any time with written notice. Upon termination, Client pays for work completed through the termination date.

Confidentiality

Both parties maintain confidentiality of proprietary information.

Access & Materials

Client provides necessary access & materials upon request.

Acceptance

This Engagement Letter may be accepted by signature, electronic signature, or written confirmation from an authorized representative of each party, all of which shall be deemed equally binding.

Governance

This Engagement Letter is governed by applicable law, without regard to its conflict-of-laws principles, subject to and controlled by mutually agreed principle-based primary dispute resolution.
